XTHUANIA.LT TERMS AND CONDITIONS

1. General Provisions

1. These Terms and Conditions (hereinafter – the Terms) set out the rules for the use of the xthuania.lt website and portal, including user rights, obligations, limits of liability, registration, communication, content publication, purchase and use of credits, and other portal features.

3. By using the portal, registering, purchasing credits, posting content, or otherwise using xthuania.lt services, the user confirms that they have read, understood, and agree to comply with these Terms.

4. The portal is an information society service platform where registered users may create accounts, complete profiles, upload photos, publish public messages, use search, private messaging, permission features, purchase credits, and access other portal functions.

5. These Terms apply together with the Privacy Policy, Cookie Policy, and any other documents published on the portal, where applicable.

2. Registration and Age Requirement

1. Only persons aged 18 or over may register and use the portal.

2. During registration, the user must provide accurate, truthful, and up-to-date information.

3. The user confirms that all registration and profile data provided by them is true and lawfully used.

4. The portal has the right to refuse registration or suspend an account if there are reasonable grounds to believe that the user has provided false, incomplete, or misleading information.

5. Registration is available only in the Republic of Lithuania.

3. Account Authenticity

1. Creating fake, misleading, impersonating, or otherwise fraudulent accounts is prohibited.

2. Profile information, photos, and any other content published in an account must be genuine, lawful, and must not violate the laws of the Republic of Lithuania or the rights of third parties.

3. The user is responsible for the accuracy and updating of the information provided in their account.

4. Privacy and Personal Data

1. Users are prohibited from publicly or privately publishing other persons’ contact details, personal data, photographs, correspondence, or any other private information without a lawful basis and that person’s clear consent.

2. The user is solely responsible for the information they publish in their profile, messages, photos, or otherwise on the portal.

3. The portal processes users’ personal data in accordance with applicable laws and the separate Privacy Policy.

4. By uploading photographs or information relating to other persons, the user confirms that they have the right to do so.

5. Rules of Conduct

1. The following is prohibited on the portal:

   1. insulting, humiliating, defaming, threatening, or harassing other users;

   2. promoting discrimination, hatred, or violence;

   3. sending vulgar, sexual, aggressive, or otherwise unwanted content without the clear consent of the other user;

   4. using the portal for fraud, manipulation, or any unlawful activity;

   5. collecting other users’ data without a lawful basis;

   6. bypassing the portal’s security, privacy, permission, or blocking mechanisms.

   7. Explicit sexual content, nudity, escort services and sexual solicitation are prohibited by the platform’s rules.

   8. Asking other users to lend, transfer, donate, or otherwise provide money, as well as requesting financial support or assistance in the form of money.

2. Each user must communicate respectfully, responsibly, and in compliance with applicable laws and principles of good morals.

6. Security

1. The user must protect their login credentials and must not share them with third parties.

2. All actions performed using the user’s account shall be deemed to have been performed by that user, except where the user promptly informs the portal of unauthorized access or another security breach.

3. When communicating with other users, users must act carefully and assess potential risks on their own.

4. The portal is not responsible for users’ meetings or communications outside the portal.

7. Content Requirements

1. It is prohibited to publish, send, upload, or otherwise distribute on the portal:

   1. illegal content;

   2. pornographic, explicitly sexual, or exploitative content;

   3. violent, cruel, or hate-promoting content;

   4. misleading, deceptive, or criminal activity-promoting information;

   5. content that infringes third-party rights.

   6. photographs generated or otherwise created using artificial intelligence (AI) that may mislead others regarding their authenticity.

   7. Posting, advertising, or sharing your own social media accounts is prohibited.

2. Uploaded photos must be clear, decent, lawful, and must not fall into the category of 18+ pornographic content.

3. The profile photo must be a photograph of the member themselves, with their face clearly visible. A photo without a face, a photo of another person, an object, an animal, a place, a drawing, or any other photo that does not show a face cannot be used as the profile photo.

4. By uploading any content, the user confirms that they have the right to publish it and assumes full responsibility for its lawfulness.

8. Prohibition of Commercial Activity

1. Without the portal’s prior explicit consent, users are prohibited from:

   1. advertising goods or services;

   2. selling goods or offering services;

   3. collecting contacts for commercial purposes;

   4. conducting direct or hidden advertising activity;

   5. offering or seeking escort, sexual, or similar services.

2. Any use of the portal for commercial, advertising, lead generation, or spam purposes constitutes a material breach of these Terms.

9. Credits, Their Price, Use, and Refunds

1. The portal may use an internal means of payment – credits.

2. The price of one credit is EUR 1 (one euro).

3. Credits may only be used within the website, solely for xthuania.lt portal functions and services offered by the portal at the relevant time.

4. Credits are not electronic money, bank money, a deposit, an investment instrument, or any other financial instrument. Credits only grant the right to use internal portal features in accordance with the portal rules applicable at the time.

5. Credits may be used for, including but not limited to:

   1. gifts or credit transfers to other users, where such function is active on the portal;

   2. purchasing products or other internal portal offers, where provided by the portal functionality.

   3. a Write to me slot in the feed and member search: 1 credit per day (24 hours), for up to 10 days. If the slot is still active, the newly purchased time is added to the time remaining;

   4. lifting a profile to the top of member search: 1 credit per day (24 hours), for up to 10 days. If the lift is still active, the newly purchased time is added to the time remaining.

6. Credits are non-refundable. Once purchased, payments made for credits shall not be refunded, except where refund is mandatorily required by applicable law.

7. Unused credits cannot be exchanged for money, transferred to a bank account, or otherwise converted outside the portal.

8. Before purchasing credits, the user must independently assess their need and intended use.

9. The portal has the right to change the possible uses of credits, functionality, pricing, or promotions in the future; however, such changes shall not apply retroactively to already purchased credits to the extent this would conflict with mandatory law.

10. If a user account is removed due to a violation of these Terms, any unused credits may be cancelled and will not be refunded.

11. If an account is deleted at the user’s own initiative, unused credits will likewise not be refunded unless applicable law provides otherwise.

12. Payments for credits may be processed through payment service providers indicated on the portal.

13. A user who transfers or gifts credits to another portal user does so voluntarily and at their own risk, accepting full responsibility for the transaction. The portal shall not be liable for any agreements, promises, fraud, disputes, or misunderstandings between users relating to the gifting or transfer of credits. By transferring credits, the user confirms that they trust the recipient and understand that the transfer is final and non-refundable, except where otherwise required by applicable law.

10. Paid features

1. The portal includes paid internal features.

2. Paid features on the portal may be purchased using credits, if clearly indicated in the description of the specific offer.

3. Before purchasing a paid feature, product, or credits, the user shall be provided with key information on price, purpose, and terms of use.

4. A Write to me slot can be purchased only if the member has a profile photo. It shows the nickname, city, and profile photo to other members. It is paid visibility, not a promise that other members will reply. The card is not shown to a member whose first message the buyer does not accept under their chat filter.

5. A member-search lift moves the profile higher in member search until the purchased time ends. It does not reveal any additional personal data.

11. Public Messages, Photos, Permissions, and Communication

1. The portal may allow users to publish posts, upload photos, send private messages.

2. Publishing public messages may be subject to payment in credits in accordance with the rules stated on the portal.

3. When using communication functions, the user assumes full responsibility for the content and lawfulness of the messages and other content they send or publish.

4. The portal has the right to store, review, and moderate user actions to the extent necessary for the portal’s legitimate interests, security, investigation of violations, and compliance with legal requirements.

5. In chat, a member may choose who can send them a first message: by gender, by age from and to, and whether the sender must have a profile photo. That sender is not shown that member’s Write to me card. A conversation that has already started remains open, and messages in it can continue.

12. Advertising and Monetization

1. The portal may display advertising banners, partner offers, sponsored content, and other advertisements.

2. The portal has the right, at its sole discretion, to determine advertising placements, display order, rotation, quantity, duration, and other technical parameters.

3. The portal is not responsible for the content, offers, goods, services, or websites of third-party advertisements, except where such liability arises directly under applicable law.

13. Blocking, Suspension, and Deletion of Accounts

1. The portal reserves the right at any time to remove content, restrict functions, temporarily suspend, or permanently block an account if:

   1. these Terms are violated;

   2. the laws of the Republic of Lithuania are violated;

   3. false or misleading information is provided;

   4. prohibited or unlawful content is published;

   5. unauthorized commercial activity is carried out;

   6. the user’s actions may harm the safety of other users, the operation of the portal, or its reputation.

2. The administrator may remove an account without prior notice if it is determined that the user’s activity may negatively affect the portal, its reputation, other users, or is contrary to law.

3. The user may suspend or delete their account themselves, where such functionality is provided on the portal.

4. Upon deletion of an account, related records, files, and other information may be removed in accordance with the portal’s technical logic, legal requirements, and the Privacy Policy.

5. If a user does not use their account for a prolonged period, the portal may remove it in accordance with the inactivity rules set on the portal.

14. Liability

1. Users are solely responsible for their own actions, communication, data submitted in their account, uploaded content, and all consequences of their actions.

2. xthuania.lt is not responsible for users’ mutual relationships, meetings, correspondence, agreements, or their consequences.

3. The portal shall not be liable for any indirect losses suffered by users, loss of reputation, data loss, loss of profit, or other damage arising from the use of the portal, to the extent such liability may be limited under applicable law.

4. The portal does not guarantee that the services will operate without interruptions, errors, or technical failures, but shall make reasonable efforts to remedy them.

5. No provision of these Terms limits consumer rights to the extent that such rights cannot be limited under mandatory law of the Republic of Lithuania.

15. Intellectual Property

1. All rights to the portal’s design, structure, software solution, graphics, logos, texts, and other elements belong to the portal or are lawfully used by it.

2. Without prior written consent, it is prohibited to copy, distribute, reuse, modify, or otherwise use portal content, except where expressly permitted by law.

16. Complaints and Dispute Resolution

1. All questions, requests, complaints, or claims must first be submitted by email to info@xthuania.lt.

2. If a dispute cannot be resolved by negotiation, the user has the right to contact the State Consumer Rights Protection Authority in accordance with applicable legal procedures.

3. These Terms shall be governed by the law of the Republic of Lithuania.

4. If the dispute cannot be resolved out of court, it shall be settled in the courts of the Republic of Lithuania in accordance with applicable jurisdiction rules.

17. Amendments to the Terms

1. The portal has the right to amend, supplement, or update these Terms at any time.

2. The updated version of the Terms enters into force from the date of its publication on the portal, unless otherwise stated therein.

3. Users are advised to review the Terms regularly. Continued use of the portal after publication of amendments shall be deemed acceptance of the updated version, except where separate consent is required by law.

18. Final Provisions

1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. These Terms are prepared in the Lithuanian language. In the event of discrepancies between language versions, the Lithuanian version shall prevail.

3. By using the portal, the user confirms that they have read these Terms and undertake to comply with them.
